Refer-a-Colleague Terms & Conditions

By participating in and becoming a member of the Refer-a-Friend program (a "Referrer"), you are subject to School of Professional Studies | Brown University’s Terms of Service and Privacy Policy, as well as the following additional Terms & Conditions for the Refer-a-Friend program:

• Applicability. The Refer-a-Friend program applies to select courses offered by the School of Professional Studies | Brown University. It is not applicable to certificate programs.

• Qualified Referral. A Qualified Referral is defined as a purchase made on select School of Professional Studies | Brown University courses by a person (a "Referred Customer") who arrives to our website by clicking your Refer-a-Friend program link. You are limited to one Qualified Referral for each Referred Customer; in other words, additional/repeat purchases made by a Referred Customer are not counted as additional Qualified Referrals.

• Referred Customer. The Referred Customer and the Referrer cannot be the same person (for example, by using a different e-mail address).

• Referral Rewards. For you to earn referral rewards as a Referrer, the Referred Customer must purchase a course and stay enrolled through the refund period.

• Reward Payments. Rewards are payable in increments of course account credits. As a Referrer, you are responsible for any and all tax liability resulting from Referral Rewards.

• Course Account Credit Applicability. If you have already purchased a course prior to the Qualified Referral being made, and you and Referred Customer are taking the course at the same time, we may automatically refund your credit to you. Otherwise, your credit can be put toward any future course to which the Refer-a-Friend program is applicable. Credits will expire 36 months from the date they are issued. To redeem the credit, the Referrer must ensure that the same email address is used both for account creation and for any payment processing.

• Eligibility. Eligibility is limited to individuals only. Referrals cannot be used by businesses for affiliate lead generation as determined at School of Professional Studies | Brown University’s sole discretion. Learners enrolled through corporate or B2B arrangements, where course fees are paid directly by the company, are not eligible to participate in Refer-a-Friend programs. Eligibility is limited to individual learners making personal payments only.

• No Spam. You must comply with all current “SPAM” laws. For example, e-mails must be created and distributed in a personal manner and bulk e-mail distribution is not allowed. Any distribution of your referral link that could constitute unsolicited commercial e-mail or "spam" under any applicable law or regulation is expressly prohibited and will be grounds for immediate termination of your account and exclusion from the Refer-a-Friend program.

• Representations. Referrer makes the following representations:

  • Referrer will not in any way falsify, deceive, or mislead School of Professional Studies | Brown University regarding referrals in the Refer-a-Friend program.

  • Referrer will not misrepresent Referrer’s relationship with School of Professional Studies | Brown University.

  • Referrer will not harvest, use listed resources, or otherwise pay for leads (or personal information) for use in this Refer-a-Friend program.

  • Referrer acknowledges and understands that School of Professional Studies | Brown University will rely upon Referrer’s compliance with these Terms & Conditions. School of Professional Studies | Brown University reserves the right to request to see Referrer’s e-mails about this program to confirm such compliance.

• Right to Close Accounts. School of Professional Studies | Brown University reserves the right to close the account(s) of any Referrer and/or Referred Customer and to request proper payment if the Referrer and/or Referred Customer attempts to use the School of Professional Studies | Brown University's Refer-a-Friend program in a questionable manner or breaches any of these Terms & Conditions or is in violation of any law, statute or governmental regulation.

• Right to Cancel Program or Change Terms. School of Professional Studies | Brown University reserves the right to cancel the Refer-a-Friend Program or to change these Terms & Conditions at any time in its sole discretion. Changes will be effective immediately upon posting revisions to these Terms & Conditions. Any unclaimed referral rewards will be forfeited at the time the program is cancelled.

• Indemnification. Referrer will defend, indemnify, and hold harmless School of Professional Studies | Brown University, its representatives, and affiliates from damages, liabilities, costs, and expenses (including attorneys' fees) resulting from any claim, judgment, or proceeding resulting from Referrer’s noncompliance with these Terms & Conditions.

• Liability. School of Professional Studies | Brown University shall have no liability in connection with this Refer-a-Friend Program to Referrers or anyone else.
